These Terms of Service (“Terms”) govern your access to and use of falconsoftwaresolutions.com and any services provided by Falcon Software Solutions (“Falcon”, “we”, “us”, or “our”). By using this website or engaging us, you agree to these Terms. If you do not agree, please do not use the site.

1. Services

Falcon provides web development, mobile and application development, UI/UX design, digital marketing, cloud, data, and related professional services. The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate written proposal, statement of work, or agreement (“Engagement Agreement”). Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement governs for that engagement.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this site or engage our services. If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation.

3. Acceptable Use

You agree not to:

  • use the site for any unlawful purpose or in violation of any applicable law or regulation;
  • attempt to gain unauthorised access to the site, its servers, or any connected system;
  • probe, scan, or test the vulnerability of the site or breach any security or authentication measure;
  • interfere with or disrupt the integrity or performance of the site, including through automated scraping, denial of service, or the introduction of malicious code;
  • copy, reproduce, or redistribute site content except as expressly permitted; or
  • misrepresent your identity or affiliation with any person or organisation.

4. Intellectual Property

All content on this website, including text, graphics, logos, images, layout, and code, is owned by Falcon or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers any ownership right to you. You may view and print pages for your own internal reference, but you may not otherwise reproduce, modify, distribute, or create derivative works without our prior written consent.

5. Client Deliverables and Ownership

Ownership of work product created for a client is governed by the applicable Engagement Agreement. Unless that agreement states otherwise:

  • ownership of final deliverables transfers to the client upon receipt of full payment;
  • Falcon retains ownership of its pre-existing materials, internal tools, frameworks, libraries, and know-how used in producing the deliverables, and grants the client a non-exclusive licence to use those materials as embedded in the deliverables; and
  • third-party components, including open-source software, remain subject to their own licence terms.

Unless the client asks otherwise in writing, Falcon may reference completed work and identify the client in its portfolio and marketing materials.

6. Client Responsibilities

Timely delivery depends on your cooperation. You agree to provide the content, assets, approvals, access credentials, and feedback we reasonably require, and to do so within the timeframes agreed. Delays in providing these may affect schedules and costs. You are responsible for ensuring you hold the necessary rights to any material you supply to us.

7. Fees and Payment

Fees, payment schedules, and currency are set out in the applicable Engagement Agreement. Unless stated otherwise, invoices are payable within the period specified on the invoice. We may suspend work on overdue accounts after reasonable notice. Fees are exclusive of applicable taxes, which are your responsibility. Amounts paid are non-refundable except where expressly agreed in writing.

8. Third-Party Services

Projects frequently rely on third-party platforms, hosting providers, APIs, plugins, and services. Those are governed by their own terms and pricing, and their availability and performance are outside our control. We are not responsible for changes, outages, deprecations, or fee changes imposed by third parties.

9. Confidentiality

Each party may receive confidential information belonging to the other. Each party agrees to protect the other’s confidential information with at least the same care it applies to its own, to use it only for purposes of the engagement, and not to disclose it to third parties except to personnel and subcontractors who need it and are bound by comparable obligations. This does not apply to information that is publicly available, independently developed, or lawfully obtained from another source, or where disclosure is legally required.

10. Warranties and Disclaimers

We will perform our services with reasonable skill and care in a professional manner consistent with industry standards.

Except as expressly stated, the website and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, timely, secure, or error-free, or that any defect will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, Falcon will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of the site or our services, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to any engagement will not exceed the total fees actually paid by you to Falcon for that engagement in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

12. Indemnification

You agree to indemnify and hold harmless Falcon and its directors, employees, and contractors from any claims, damages, liabilities, and reasonable expenses arising out of your breach of these Terms, your misuse of the site, or your infringement of any third-party right, including in relation to material you supply to us.

13. Termination

We may suspend or terminate your access to the site at any time if you breach these Terms. Termination of a client engagement is governed by the applicable Engagement Agreement. On termination, you remain responsible for fees accrued for work performed up to the termination date. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.

14. Force Majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, labour disputes, failures of telecommunications or utility services, and acts of government.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles. The courts at Mumbai, Maharashtra will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the site.

16. Changes to These Terms

We may revise these Terms from time to time. The revised version takes effect when posted on this page, and we will update the “Last updated” date accordingly. Your continued use of the site after changes are posted constitutes acceptance of the revised Terms.

17. Severability and Waiver

If any provision of these Terms is held to be unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.
